"ILUMAY provides specialized Red Light Therapy (RLT) equipment manufacturing, optical engineering, and tailored B2B OEM/ODM production services. The precise scope, specifications, and commercial terms are meticulously defined in mutual written supply agreements, engineering specifications, or proforma invoices. ILUMAY explicitly reserves the right to refuse manufacturing or engineering service for any project deemed optically unsound or not complying with global safety standards."
3. Client Responsibilities
Clients agree to:
Provide accurate and complete information relevant to the services requested.
Respond promptly to communications, approvals, and feedback.
Ensure all materials provided do not infringe on third-party rights.
Failure to provide required information may delay project delivery.
4. Payment Terms
Fees for services will be outlined in proposals or contracts.
Payments are due as specified in the agreement. Late payments may incur additional charges or project suspension.
ILUMAY may require deposits or milestone payments depending on the service type.
5. Intellectual Property
All intellectual property created by ILUMAY remains the property of ILUMAY unless otherwise agreed.
Clients are granted a limited, non-exclusive license to use deliverables for the intended purpose.
Clients retain ownership of any content or materials provided to ILUMAY for project execution.
6. Confidentiality
Both parties agree to maintain confidentiality regarding sensitive information exchanged during the course of the engagement, including business data, strategies, and personal information.
7. Limitation of Liability
ILUMAY is not liable for any indirect, incidental, or consequential damages arising from the use of services or deliverables.
While we strive to provide accurate and effective manufacturing and optical engineering solutions, we do not guarantee specific results.
8. Termination
Either party may terminate the agreement with written notice.
Clients remain responsible for payment for services rendered up to the termination date.
ILUMAY reserves the right to suspend or terminate services in case of breach of terms, non-payment, or illegal activity.
9. Governing Law
These Terms and Conditions are governed by and interpreted in accordance with the laws of Shenzhen, Guangdong, China. Any disputes arising shall be resolved in the applicable courts of this jurisdiction.
10. Changes to Terms
ILUMAY may update these Terms and Conditions from time to time. Any changes will be posted on this page with an updated effective date. It is the client’s responsibility to review the terms periodically.
